Mergers & Acquisitions

Practice Overview

Our M&A lawyers at Drummond Woodsum understand the importance to those involved in the sale or purchase of, or investment in, a business, a subsidiary, or a division and have extensive experience representing buyers, sellers, and investors in connection with various types of acquisition transactions. Our clients include many sellers (often founders) and buyers that we have represented for many years as well as venture capital and private equity companies, businesses, and investors who engage us for a specific transaction because of our expertise and reputation.  We are experts who are pragmatic and efficient, providing advice and understanding informed by years of experience involving many transactions across many industrues, which we bring to bear to each stage of the transaction process, from letters of intent, transaction structure, due diligence, negotiating and drafting the deal documents. We counsel our clients in complex transactions, including mergers and other types of equity transactions, asset sales and purchases, management and leveraged buy-outs, equity investments, and joint ventures. In addition to our lawyers’ specialized M&A skills, our M&A lawyers have a breadth of experience in corporate law and governance, securities regulation, finance, and other corporate and commercial disciplines that are so important to the successful structuring, completion, and efficient management of any M&A transaction. Most require a collaborative approach and the leader on each deal will draw on the expertise from the firm’s tax, employee benefits, employment, intellectual property, real estate, and other departments as needed. As in all of our engagements, our M&A lawyers are not only experts but responsive, efficient, and user-friendly.

Our M&A clients include small startups and early stage companies, multigenerational family owned businesses and publicly held companies with transaction sizes ranging from several hundred million to under one million dollars.  They represent a remarkably broad spectrum of services and industries as well, including financial services, manufacturing, biotechnology, software and technology, professional services, construction, transportation businesses, food and hospitality businesses, distribution and retail, insurance, and telecom, among others. We also have considerable experience assisting buyers with the unique issues posed by the acquisition of troubled companies, in and out of formal bankruptcy proceedings.
